Terms of Service

Introduction
These Terms of Service ("Agreement" or "Terms") constitute a legally binding contract between you ("User," "you," or "your") and the Rankly service ("Rankly," "Company," "we," "us," or "our").
Rankly operates a Discord-focused discovery and marketplace platform accessible at rankly.live and any associated subdomains, applications, and services (collectively, the "Platform" or "Service"). The Platform serves two principal and integrated functions: a public discovery layer through which users can browse, search, and explore Discord servers and bots submitted by their respective owners and developers; and a creator marketplace through which eligible listing owners โ defined as Discord server owners and Discord bot developers โ may offer subscription tiers, digital access products, and community benefit packages to purchasers. Both functions, and all conduct occurring in connection with either, are governed in full by this Agreement.
By accessing, registering on, or using any part of the Platform in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, together with our Privacy Policy, Community Guidelines, Refund Policy, and DMCA Policy, all of which are incorporated herein by reference and form part of this Agreement. If you do not agree to these Terms, you must immediately discontinue all use of the Platform.
Rankly reserves the right to amend these Terms at any time. When material changes are made, a notice will be published on the Platform no fewer than seven (7) days before the revised Terms take effect. Your continued use of the Platform following the effective date of any amendment constitutes your unconditional acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
Section 1 โ Eligibility and Account Registration
1.1 Age Requirement
You must be at least thirteen (13) years of age to use the Platform in any capacity. If you are between thirteen (13) and seventeen (17) years of age, you represent that you have obtained verifiable parental or legal guardian consent prior to accessing or using any part of the Service. Users must be at least eighteen (18) years of age to access any monetization or marketplace feature. By using the Platform, you represent and warrant that you meet the applicable age requirement for each feature you access.
1.2 Accurate Information
When creating an account, you agree to provide truthful, current, and complete information. You further agree to maintain and promptly update your account information to ensure it remains accurate at all times. The submission of false, misleading, or outdated registration information is a material breach of this Agreement and may result in immediate account suspension or permanent termination.
1.3 One Account Per User
Each individual or entity is permitted to maintain a single account on the Platform. Creating or operating multiple accounts for any purpose โ including to circumvent a suspension or ban, to manipulate Platform features, to artificially inflate listing metrics, or to gain any unfair advantage โ is strictly prohibited and will result in the permanent suspension of all associated accounts without exception.
1.4 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorized by you. You agree to notify Rankly immediately at support@rankly.live upon becoming aware of any unauthorized access to or use of your account.
1.5 Jurisdictional Eligibility
You represent and warrant that your use of the Platform does not violate any applicable law or regulation in your jurisdiction of residence or location. Certain features of the Platform โ particularly those involving financial transactions, payouts, and marketplace participation โ are subject to additional and strictly enforced jurisdictional restrictions as described in Section 13 of these Terms.
1.6 Reservation of Rights
Rankly reserves the right to refuse registration, suspend, or permanently terminate any account at its sole discretion, including where there is reason to believe that account activity poses a risk to the integrity, security, reputation, or legal compliance of the Platform or any of its users.
Section 2 โ Platform Description and Nature of Service
2.1 Discovery Layer
Rankly provides a publicly accessible directory through which users may browse, search, filter, and explore Discord servers and Discord bots submitted by their respective owners and developers. Discovery listings are user-generated and are subject to Rankly's moderation standards as set out in these Terms and the Community Guidelines. The presence of any listing on the Platform does not constitute Rankly's endorsement, verification, or guarantee of the quality, safety, accuracy, legality, or reliability of any listed server, bot, or associated community.
2.2 Creator Marketplace
Rankly provides an integrated marketplace layer through which eligible listing owners โ Discord server owners and Discord bot developers โ may offer paid subscription tiers, digital access products, and community benefit packages to purchasers through the Platform. The marketplace is designed exclusively for Discord-native, digitally delivered products as defined and restricted in Section 6 of these Terms. Rankly acts solely as a technology platform and marketplace facilitator in this context. Rankly is not a party to any transaction between a creator and a purchaser, does not take possession of or title to any funds or products, and does not act as a payment processor, money transmitter, escrow agent, or financial institution of any kind.
2.3 User-Generated Content
A significant portion of the Platform consists of content submitted by users, including server listings, bot listings, reviews, ratings, votes, and marketplace product descriptions. Rankly permits such content subject to the standards and restrictions set out in these Terms and the Community Guidelines. The presence of user-generated content on the Platform does not constitute Rankly's endorsement or verification of that content, and Rankly assumes no liability for user-generated content except to the extent expressly provided in these Terms.
2.4 No Guarantee of Results
Rankly makes no representation or warranty that use of the Platform โ whether for discovery, marketplace, or advertising purposes โ will result in any particular outcome, including visibility, subscriber growth, revenue generation, or bot adoption. All outcomes depend on factors beyond Rankly's control, and no guarantees of any kind are made or implied.
Section 3 โ Platform Listings
3.1 Listing Eligibility
Any registered user in good standing may submit a Discord server or Discord bot listing to the Platform's discovery directory, subject to compliance with these Terms and the Community Guidelines. Listings are subject to review and approval by Rankly at its sole discretion, and Rankly reserves the right to reject, remove, or modify any listing at any time without notice or liability.
3.2 Listing Accuracy
You are solely responsible for ensuring that your listing is accurate, complete, and not misleading. Listings must truthfully describe the server or bot, its purpose, its rules, its community standards, and any paid features associated with it. Deliberate misrepresentation in a listing is a material breach of this Agreement.
3.3 Listing Standards
All listings must comply with Discord's Terms of Service and Community Guidelines in addition to Rankly's own standards. Listings that promote, facilitate, or are associated with any prohibited conduct or content as described in Section 8 of these Terms will be removed and may result in account termination.
3.4 Discovery Metrics
Rankly may display metrics associated with listings, including member counts, vote totals, ratings, and engagement statistics. These metrics are provided for informational purposes only and are subject to verification. Rankly reserves the right to adjust, correct, or remove metrics that it determines have been artificially inflated or otherwise manipulated.
3.5 Voting and Reviews
Users may vote for and submit reviews of listed servers and bots in accordance with the Community Guidelines. Votes and reviews must reflect genuine user experience. Any coordinated, automated, or otherwise artificial manipulation of voting or review systems is strictly prohibited and constitutes a violation of these Terms subject to immediate enforcement action.
3.6 Listing Removal
Rankly reserves the right to delist any server or bot at any time, including where the listing violates these Terms, where the associated Discord server or bot has been removed or terminated by Discord, or where Rankly determines in its sole discretion that the listing is inconsistent with the standards and purpose of the Platform.
Section 4 โ Credits and Virtual Currency
4.1 Nature of Credits
Credits are virtual units of account available solely for use within the Rankly Platform for designated Platform features. Credits are not legal currency, do not constitute property, and carry no monetary value outside of the Platform. Credits represent a limited, non-transferable, revocable token to access certain Platform features and are subject in full to the terms set out in this Section. Credits might be used as payment for marketplace products or creator offerings, no creator may offer, promise, or deliver Rankly credits โ of any type โ as a perk, reward, or benefit to purchasers or subscribers.
4.2 Types of Credits
- Earned Credits: Accrued through legitimate Platform activity, including voting, submitting reviews, and participating in designated engagement programs. Earned Credits expire following ninety (90) consecutive days of account inactivity. Earned Credits may, at Rankly's sole discretion and subject to satisfactory identity verification, be eligible for participation in reward redemption programs as designated by Rankly from time to time.
- Platform Credits: Issued by Rankly as part of engagement incentives or promotional activities. Platform Credits expire following ninety (90) consecutive days of account inactivity. Platform Credits are strictly for designated Platform feature use only and are not eligible for redemption, reward programs, marketplace payments, or any payout mechanism.
- Purchased Credits: Acquired through direct payment to Rankly. Purchased Credits do not expire. All purchases of credits are final and non-refundable. Purchased Credits are for designated Platform feature use only and may not be redeemed for cash, transferred to another account, or exchanged for any form of value outside the Platform.
4.3 Credit Deduction Priority
When credits are applied toward eligible Platform features, they are deducted in the following order: Earned Credits first, followed by Platform Credits, and then Purchased Credits.
4.4 Modifications to Credit System
Rankly reserves the right to modify, adjust, or discontinue any aspect of the credit system at any time, with or without prior notice, including expiration policies, redemption eligibility, and the features for which credits may be applied. Such changes will not constitute grounds for a refund of previously purchased credits.
4.5 No Refunds on Credits
All credit purchases are final. Rankly does not provide refunds, compensation, or alternative credit for unused credits, expired credits, or credits forfeited upon account termination, except where explicitly required by applicable law or as stated in the Refund Policy.
4.6 Prohibited Credit Conduct
Any attempt to artificially generate, exploit, duplicate, transfer, or otherwise manipulate credits through technical means, coordinated activity, fraudulent transactions, reverse engineering, or any other scheme is strictly prohibited and will result in immediate account termination and permanent forfeiture of all associated credits.
Section 5 โ Advertising and Promotional Services
5.1 Scope of Services
Rankly offers advertising and promotional services to help server and bot owners increase their visibility on the Platform, including sponsored placements, real-time bidding for advertising positions, and featured listing arrangements.
5.2 Binding Commitments
All advertising purchases, bids, and promotional commitments made through the Platform are binding and final upon submission. Users may not reverse, cancel, or dispute confirmed advertising transactions except as expressly permitted under these Terms or as required by applicable law.
5.3 Content Standards
All advertising and promotional content submitted to the Platform must comply with Rankly's Community Guidelines and all applicable laws and regulations. Rankly reserves the right to reject, remove, or modify any advertisement or promotional content at any time and at its sole discretion, without liability of any kind.
5.4 Bid Integrity
Any manipulation of the advertising bidding system, including through the use of automated scripts, coordinated bidding activity, or any method designed to artificially influence bid outcomes, pricing, or placement rankings, is strictly prohibited and constitutes a material breach of this Agreement.
5.5 No Guarantee of Results
Advertising and promotional services provide increased visibility within the Platform and do not guarantee any specific outcome, including member growth, user engagement, server traffic, bot adoption, or financial return. Impression and engagement metrics provided by Rankly are estimates and may not reflect actual performance. Rankly assumes no liability for the results, or lack thereof, of any advertising or promotional service.
Section 6 โ Creator Marketplace Terms
6.1 Definition of Creator
For the purposes of these Terms, a "Creator" is a Discord server owner or Discord bot developer who has been approved by Rankly to offer paid products through the creator marketplace. Creator status is separate from general listing eligibility and requires completion of the additional requirements set out in this Section.
6.2 Creator Eligibility
To be approved as a Creator and access marketplace features, you must satisfy all of the following requirements without exception: you must be at least eighteen (18) years of age; you must hold a verified Rankly account in good standing with no active enforcement actions or restrictions; you must have an active and compliant server or bot listing on the Platform; you must have completed all applicable tax documentation requirements as set out in Section 10 of these Terms; you must not be subject to any financial restriction or sanctions-based ineligibility under Section 13 of these Terms; and you must not have been previously removed from the marketplace for violations of these Terms. Rankly reserves the right to approve or deny any creator application at its sole discretion and to revoke Creator status at any time for violations of these Terms or for any other reason Rankly determines to be in the interest of Platform integrity.
6.3 Definition of Permitted Digital Products
Creators may offer only products that meet all of the following criteria simultaneously. The product must be entirely intangible and digital in nature, with no physical component of any kind. The product must be natively deliverable within or in direct connection with Discord โ meaning its value is realized through Discord server membership, Discord role assignment, Discord bot feature access, or an equivalent Discord-native mechanism. The product must be genuinely deliverable by the Creator without reliance on any third party's performance or financial obligation. The product must be accurately and completely described in the marketplace listing. The product must not constitute, contain, reference, or enable access to any item of monetary value as defined in Section 6.6. The product must comply with Discord's Terms of Service, these Terms, and all applicable laws. Any product that does not meet each and every one of these criteria is not a Permitted Digital Product and may not be listed or offered on the Platform.
6.4 Permitted Product Categories
Subject to the definition and restrictions set out in Section 6.3, and without limitation to Rankly's right to approve or reject individual listings, the following categories of products are generally eligible for listing on the creator marketplace: recurring subscription tiers that grant subscribers access to a Discord server membership or designated Discord roles and associated in-server privileges; one-time digital access products including Discord bot premium feature licenses, feature unlock keys, and equivalent bot-delivered benefits; defined community benefit packages tied to Discord role assignment, such as access to exclusive channels, priority support within a server, custom role titles, or similar in-server experiential perks; and any other Discord-native digital product that Rankly, in its sole discretion, approves for listing.
6.5 Explicit Prohibition on Physical Goods
The offer, listing, advertisement, or delivery of any physical good, tangible item, or product requiring physical shipment, handling, or in-person exchange is absolutely prohibited on the creator marketplace without exception. This prohibition applies regardless of how the product is described, packaged, or framed within a listing. Any listing found to involve a physical good will be removed immediately, and the Creator responsible will be subject to enforcement action under Section 6.14.
6.6 Explicit Prohibition on Monetary-Value Perks
No creator benefit, perk, subscription reward, or deliverable offered through the marketplace may constitute, contain, represent, or be redeemable for any form of monetary value. This prohibition is absolute and applies without exception to the following: cash or cash equivalents of any kind; gift cards, vouchers, or prepaid cards of any kind, whether for Rankly or any third-party platform or retailer; cryptocurrency, digital tokens, stablecoins, or any blockchain-based asset; securities, financial instruments, or investment products of any nature; lottery entries, raffle tickets, or any chance-based financial product; products that function as a store of monetary value in any form; any perk structured as or equivalent to a loan, advance, revenue share, commission arrangement, or financial return of any kind; and Rankly credits of any type, including Earned Credits, Platform Credits, and Purchased Credits. The intent of this prohibition is to ensure that the Rankly marketplace functions strictly as a platform for Discord-native community and access products, and not as a vehicle for financial product distribution, regulated financial activity, or any arrangement that could be construed as a money service.
6.7 Explicit Prohibition on Credits as Perk
No creator may offer, promise, or deliver Rankly credits of any type โ including Earned Credits, Platform Credits, or Purchased Credits โ as a perk, reward, incentive, or benefit associated with any marketplace listing, subscription tier, or promotional activity. Any attempt by a creator to use credits in these prohibited ways will be treated as a violation of these Terms and will result in the immediate removal of the associated listing and may result in permanent account termination.
6.8 Transaction Fees
Rankly charges a transaction fee on each successful sale completed through the creator marketplace. The applicable fee rate is displayed in the Creator dashboard at the time of product listing creation and may be updated by Rankly from time to time. Continued use of the marketplace following a fee rate update constitutes acceptance of the revised rate. Transaction fees are automatically deducted from each completed sale prior to the calculation of any payout amount and are non-refundable under all circumstances.
6.9 Creator Responsibility for Delivery
Creators are solely and exclusively responsible for delivering all products and benefits as described in their marketplace listings, within the timeframe and in the manner represented. Rankly is not responsible for the delivery, quality, completeness, or fulfillment of any creator product. Failure to deliver a product materially as described โ including partial delivery, delayed delivery without communication, or delivery of a product materially different from what was listed โ constitutes a breach of this Agreement and may result in the reversal of associated payouts, suspension of marketplace access, and permanent account termination.
6.10 Subscription Management
Where a Creator offers a recurring subscription product, the Creator is responsible for ensuring that subscribers receive the described benefits for the full duration of each paid subscription period. Creators may not terminate, materially alter, or degrade a subscription offering mid-period without providing a pro-rated refund to affected subscribers. Rankly reserves the right to enforce this obligation on behalf of purchasers and to deduct any required refund amounts from the Creator's available balance.
6.11 Refunds and Disputes
Rankly's Refund Policy governs refund eligibility for marketplace purchases. Creators must cooperate fully and promptly with any refund or dispute process initiated by Rankly or a purchaser. Where a refund is determined by Rankly to be warranted, the corresponding amount will be deducted from the Creator's available balance. Creators with a pattern of disputes, chargebacks, or delivery failures may have their payout eligibility suspended, their marketplace access restricted, or their Creator status permanently revoked.
6.12 Rankly's Role as Facilitator
Rankly acts solely as a marketplace technology facilitator. Rankly is not a party to the agreement between a Creator and a purchaser, does not take title to any product or funds, and is not responsible for the performance of either party to a marketplace transaction. The listing of a product on the Rankly marketplace does not constitute Rankly's endorsement of the Creator, the product, or the associated server or bot.
6.13 Creator Representations and Warranties
By creating and maintaining a marketplace listing, you represent and warrant on a continuing basis that: all information in your listing is accurate, complete, and not misleading; you have full right and authority to offer the described product; your product and its delivery do not infringe upon any intellectual property right, privacy right, or other right of any third party; your product complies with all applicable laws and regulations in your jurisdiction and in the jurisdictions of your purchasers; and your product constitutes a Permitted Digital Product as defined in Section 6.3 and does not violate any prohibition set out in this Section.
6.14 Suspicious Activity, Enforcement, and Forfeiture
Rankly employs continuous monitoring of marketplace activity to detect fraud, abuse, manipulation, policy violations, and any conduct inconsistent with these Terms. Upon detection of suspicious activity โ including but not limited to artificial inflation of sales metrics, coordinated self-purchasing, fraudulent transactions, delivery fraud, misrepresentation of products, sanctions evasion, or any other conduct that Rankly determines in its sole discretion to be suspicious or abusive โ Rankly reserves the right, without prior notice and at its sole discretion, to take any or all of the following actions: immediately suspend or remove any or all of the Creator's marketplace listings; place an indefinite hold on some or all of the Creator's accrued earnings and pending payouts; permanently forfeit some or all of the Creator's accrued earnings where the suspicious activity is determined to have involved fraudulent, deceptive, or prohibited conduct; permanently revoke the Creator's marketplace access; suspend or permanently terminate the Creator's account; reverse any transactions associated with the suspicious activity; and report the matter to applicable law enforcement or regulatory authorities. Rankly's determination of what constitutes suspicious activity is final. The fact that Rankly has not previously acted on a particular type of conduct does not constitute a waiver of its right to act on that conduct in the future.
Section 7 โ Payouts and Payment Processing
7.1 Payout Eligibility
To request a payout of marketplace earnings, a Creator must satisfy all of the following requirements: the Creator's account must be in good standing with no active enforcement holds or restrictions; all applicable tax documentation required under Section 10 must have been submitted, verified, and accepted by Rankly; the Creator's available balance must meet or exceed any minimum payout threshold as displayed in the Creator dashboard; and the Creator must not be subject to any financial restriction or sanctions-based ineligibility under Section 13 of these Terms. Rankly reserves the right to require additional identity verification or documentation prior to processing any payout.
7.2 Nature of Payment Processing
Rankly does not process payments directly and does not act as a payment processor, payment facilitator, money transmitter, escrow agent, or financial institution in any capacity. All financial transactions on the Platform are processed by third-party payment service providers, which currently include Stripe and Cryptomus, as well as such other providers as Rankly may engage or substitute from time to time. By using any payment feature on the Platform, you agree to be bound by the applicable terms, conditions, and policies of the relevant payment provider, in addition to these Terms.
7.3 Payout Methods
Rankly offers payout disbursement through one or more of the following methods, subject to availability in the Creator's jurisdiction and compliance with all applicable legal requirements: third-party processor-facilitated bank transfers; PayPal; UPI and equivalent local payment rails; remittance services; and such other locally relevant payment options as Rankly may make available from time to time. The availability of specific payout methods varies by jurisdiction and is displayed in the Creator dashboard. Rankly reserves the right to add, remove, or modify available payout methods at any time. Where no third-party processor option is available for a particular jurisdiction, Rankly may, at its sole discretion and subject to applicable legal requirements and satisfactory verification, facilitate payouts directly from Company-held funds. No Creator has an entitlement to any specific payout method.
7.4 Payout Holds and Delays
Rankly reserves the right to place temporary or indefinite holds on Creator earnings or pending payouts at any time, including where: identity verification or tax documentation has not been completed or requires review; a dispute, chargeback, or refund request has been raised in connection with the Creator's sales; suspicious or non-compliant activity has been detected in connection with the Creator's account or marketplace listings; a legal hold, regulatory inquiry, or law enforcement request requires it; or Rankly determines in its sole discretion that a hold is necessary to protect the integrity of the Platform or the interests of purchasers. Rankly is not liable for any loss arising from a hold placed in good faith under this Section.
7.5 No Liability for Payment Provider Actions
Rankly is not responsible for decisions made independently by third-party payment providers, including account restrictions, fund holds, transaction reversals, or compliance actions imposed by those providers on Creators or purchasers. Creators and purchasers are independently responsible for compliance with the terms and policies of any payment provider they use in connection with the Platform.
7.6 Transaction Fees and Deductions
As set out in Section 6.8, Rankly automatically deducts its transaction fee from each completed marketplace sale prior to the calculation of any payout amount. In addition, applicable payment provider fees, currency conversion fees, and any withholding taxes required by law will be deducted from payout amounts. The net payout amount after all deductions is what the Creator receives.
7.7 Bad-Faith Payment Disputes
Filing a payment dispute or chargeback in bad faith โ including in connection with purchases that were validly completed and are not eligible for refund under these Terms and the Refund Policy โ constitutes a material breach of this Agreement and may result in account termination, permanent forfeiture of credits and marketplace earnings, suspension of all payout access, and referral to payment processors and legal counsel.
Section 8 โ Prohibited Conduct and Content
8.1 General Standards
All users are expected to engage with the Platform honestly, in good faith, and in a manner consistent with its intended purpose as a Discord discovery and digital creator marketplace. Conduct that undermines the integrity, safety, legality, or fairness of the Platform will not be tolerated, and Rankly will enforce these standards rigorously and without exception.
8.2 Prohibited Conduct
The following categories of conduct are strictly prohibited on the Platform and will result in enforcement action up to and including immediate permanent account termination and referral to applicable legal, regulatory, or law enforcement authorities:
- Fraudulent Activity: Any act of fraud, misrepresentation, false claims, impersonation, or deceptive conduct directed at Rankly, other users, or any third party in connection with the Platform, including the submission of payment disputes or chargebacks in bad faith.
- Platform Manipulation: Use of bots, scripts, automated tools, third-party services, or coordinated human activity to manipulate votes, reviews, rankings, metrics, credits, bidding outcomes, marketplace sales figures, subscriber counts, or any other Platform feature.
- Multiple Accounts: Creating or operating multiple accounts for any prohibited purpose, including to evade enforcement actions, circumvent restrictions, artificially inflate listing metrics, or gain any unfair advantage of any kind.
- False Information: Submitting misleading, inaccurate, exaggerated, or fabricated server listings, bot listings, reviews, ratings, marketplace product descriptions, tax documentation, identity information, or any other content submitted to or displayed on the Platform.
- Unauthorized Access: Attempting to gain unauthorized access to any part of the Platform, its systems, databases, infrastructure, or other users' accounts through any means, including exploitation of vulnerabilities, reverse engineering, credential stuffing, or social engineering.
- Malicious Code: Uploading, distributing, linking to, or otherwise facilitating access to viruses, malware, ransomware, spyware, Trojan horses, or any other harmful or malicious code through the Platform.
- Harassment and Abuse: Engaging in bullying, intimidation, threats, doxxing, targeted harassment, hate speech, or any form of abusive conduct toward any user, Creator, purchaser, Rankly personnel, or third party.
- Intellectual Property Infringement: Using, reproducing, distributing, or selling copyrighted, trademarked, or otherwise protected materials through the Platform without proper authorization, including the unauthorized sale or distribution of software, digital media, licensed content, or counterfeit goods.
- Illegal Activity: Promoting, advertising, facilitating, or engaging in any activity that violates applicable local, national, or international law, including applicable export control laws and sanctions regulations.
- Unauthorized Data Collection: Scraping, harvesting, crawling, or otherwise collecting data from the Platform without Rankly's express prior written authorization.
- Financial Crimes: Using the Platform or any of its features to facilitate money laundering, terrorist financing, sanctions evasion, financial fraud, or any other financial crime.
- Credit and Earnings Abuse: Engaging in any scheme โ whether technical, coordinated, or otherwise โ to artificially generate, exploit, duplicate, or abuse the credit system or marketplace earnings calculations.
8.3 Prohibited Content Categories
The following categories of content may not be listed, offered, promoted, linked, or distributed through the Platform under any circumstances, regardless of how the content is characterized or framed:
- Adult or sexually explicit content of any nature, including imagery, text, video, audio, or any other medium.
- Content involving or directed at minors in any sexual, exploitative, or inappropriate context.
- Illegal drugs, controlled substances, or products designed to mimic or facilitate the use of illegal substances.
- Illegal weapons, firearm components, or items intended for use in violence.
- Content that promotes, glorifies, encourages, or facilitates unlawful violence toward any person, group, or property.
- Content that promotes discrimination, hatred, or hostility based on race, ethnicity, religion, gender, sexual orientation, national origin, disability, or any other characteristic.
- Gambling, lotteries, sweepstakes, or any chance-based product offering a monetary or material prize.
- Products or services that constitute or involve the transmission of monetary value, as described in Section 6.6.
- Counterfeit goods or unauthorized replicas of any branded product.
- Pyramid schemes, multi-level marketing arrangements, or deceptive financial opportunity promotions of any kind.
- Content that facilitates identity theft, credential theft, or the unauthorized use of another person's identity or personal information.
- Physical goods of any kind, as described in Section 6.5.
- Any other content that Rankly determines, in its sole discretion, to be harmful, deceptive, illegal, or inconsistent with the standards and purpose of the Platform.
8.4 Enforcement Discretion and Finality
Rankly employs both automated monitoring and manual review processes to detect prohibited conduct and content. Rankly reserves the right to act immediately and without prior notice in all enforcement matters, including the removal of content, suspension or termination of accounts, reversal of credits or payouts, placement of holds on earnings, and referral to law enforcement or regulatory authorities. Rankly's enforcement decisions are made at its sole discretion and are final. The fact that Rankly has not acted on a particular type of conduct in the past does not constitute a waiver of its right to act on such conduct at any future time.
Section 9 โ User-Generated Content
9.1 Ownership and License
You retain ownership of any content you submit to the Platform, including server listings, bot listings, marketplace product descriptions, reviews, and other materials ("User Content"). By submitting User Content to the Platform, you grant Rankly a non-exclusive, worldwide, royalty-free, perpetual, sublicensable, and transferable license to use, reproduce, display, distribute, modify, adapt, and create derivative works from that content for the purposes of operating, improving, promoting, and expanding the Platform.
9.2 Content Responsibility
You are solely and exclusively responsible for the accuracy, legality, and appropriateness of all User Content you submit. You represent and warrant on a continuing basis that your User Content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party; does not violate any applicable law or regulation; and does not contain any prohibited content as described in Section 8.3.
9.3 Content Removal
Rankly reserves the right to remove, modify, restrict, or disable access to any User Content at its sole discretion and without prior notice or liability, including where Rankly determines that such content violates these Terms, the Community Guidelines, or any applicable law.
9.4 Publicly Visible Content
Certain User Content is made publicly visible by the design and nature of the Platform, including server and bot listings, public reviews and ratings, and marketplace product descriptions. You should exercise careful discretion in what information you include in publicly visible content, as such content may be indexed by third-party search engines, archived, and accessed indefinitely by the general public. Rankly is not responsible for the downstream use of publicly visible User Content by third parties.
Section 10 โ Tax Compliance and Documentation
10.1 Creator Tax Responsibility
Creators are solely and exclusively responsible for determining, filing, and satisfying all tax obligations arising from their marketplace earnings and any other financial activity conducted through the Platform. This responsibility includes, without limitation, income tax, self-employment tax, value-added tax (VAT), goods and services tax (GST), digital services tax, and any other applicable tax in the Creator's jurisdiction and in the jurisdictions of their purchasers. Rankly does not provide tax advice of any kind, does not withhold taxes on behalf of Creators except where required by applicable law, and assumes no liability whatsoever for a Creator's failure to comply with applicable tax obligations. Creators are strongly encouraged to seek qualified tax advice from a licensed professional in their jurisdiction.
10.2 Mandatory Tax Documentation โ United States Residents
Creators who are United States persons for federal tax purposes โ including U.S. citizens and U.S. residents regardless of their country of physical residence โ must submit a fully and accurately completed IRS Form W-9 (Request for Taxpayer Identification Number and Certification) prior to receiving any payout from the Platform. Failure to submit a valid and accepted W-9 will result in payout ineligibility and may require Rankly to apply backup withholding at the applicable statutory rate in accordance with U.S. law.
10.3 Mandatory Tax Documentation โ Non-United States Residents
Creators who are not United States persons for federal tax purposes must submit a fully and accurately completed IRS Form W-8BEN (Certificate of Foreign Status of Beneficial Owner for United States Tax Withholding and Reporting) if applying as an individual, or the applicable W-8 series form if applying as an entity, prior to receiving any payout from the Platform. Submission of this form certifies the Creator's foreign status and, where applicable, their eligibility for a reduced rate of U.S. withholding tax under an applicable income tax treaty. Rankly may be required by U.S. law to withhold tax on payments to foreign Creators at the applicable statutory rate where a valid W-8 form has not been submitted or where no treaty benefit applies.
10.4 Basic Identity Verification
In addition to tax documentation, all Creators are required to complete Rankly's standard identity verification process prior to payout eligibility. This process requires at minimum the submission of the Creator's legal name, verified email address, country of residence, and selected payout method. Rankly reserves the right to require additional verification documentation at any time, including government-issued identification, where it determines this is necessary for compliance with applicable law or payment provider requirements.
10.5 Accuracy and Updates
By submitting tax documentation and identity information to Rankly, you represent and warrant that all information provided is accurate, complete, and current as of the date of submission. You agree to promptly update your tax documentation and identity information if your tax status, residency, or personal information changes. Rankly reserves the right to suspend payouts indefinitely pending receipt of updated, corrected, or re-verified documentation.
10.6 Rankly's Reporting Obligations
Rankly may be required by applicable law to report Creator earnings and associated taxpayer information to relevant tax authorities, including the U.S. Internal Revenue Service, where applicable reporting thresholds are met or where required by applicable tax treaties or automatic information exchange agreements. The submission of accurate tax documentation by Creators is a prerequisite to such reporting and is required regardless of the amount earned.
10.7 Indemnification for Tax Matters
You agree to fully indemnify and hold harmless Rankly and its members, officers, and employees from and against any and all claims, liabilities, penalties, fines, assessments, and expenses (including reasonable legal fees) arising from your failure to comply with applicable tax laws, your failure to submit timely or accurate tax documentation, or any inaccuracy or misrepresentation in the tax or identity documentation you provide to Rankly.
Section 11 โ Intellectual Property
11.1 Rankly's Intellectual Property
All Platform content that is not User Content โ including the Rankly name, logo, trademarks, service marks, design elements, software, source code, algorithms, text, graphics, and data compilations โ is the exclusive property of Rankly or its licensors and is protected by applicable intellectual property laws, including copyright, trademark, and trade secret law. No rights in Rankly's intellectual property are granted to any user by virtue of these Terms or any use of the Platform.
11.2 Restrictions on Use
You may not reproduce, distribute, publicly display, publicly perform, modify, adapt, create derivative works from, reverse engineer, decompile, or otherwise exploit any portion of the Platform or its proprietary content for any commercial or non-commercial purpose without Rankly's prior express written consent.
11.3 DMCA Compliance
Rankly respects the intellectual property rights of others and expects all users and Creators to do the same. If you believe that any content on the Platform infringes upon your copyright or other intellectual property right, please refer to our DMCA Policy for complete instructions on submitting a valid takedown notice. Rankly will respond to valid takedown notices in accordance with the Digital Millennium Copyright Act and other applicable law.
11.4 Feedback
If you submit suggestions, feedback, or ideas to Rankly regarding the Platform or its features, you grant Rankly a perpetual, irrevocable, royalty-free license to use, implement, and exploit that feedback in any manner without any obligation of compensation, attribution, or confidentiality to you.
Section 12 โ Privacy
Your use of the Platform is governed by Rankly's Privacy Policy, which is incorporated into these Terms by reference in its entirety. By using the Platform, you acknowledge that you have read the Privacy Policy and consent to the collection, processing, storage, and disclosure of your information as described therein. Rankly processes personal data in accordance with applicable data protection laws. In the event of a conflict between these Terms and the Privacy Policy on a matter of data handling, the Privacy Policy will govern.
Section 13 โ Sanctions and Jurisdictional Financial Restrictions
13.1 Commitment to Sanctions Compliance
Rankly is committed to compliance with applicable geographic sanctions programs and financial restrictions. This includes, without limitation, the sanctions programs administered by the United States Department of the Treasury's Office of Foreign Assets Control (OFAC) and equivalent multilateral sanctions measures. Our compliance program operates at the jurisdictional level, restricting financial activity and monetization services originating from restricted regions.
13.2 Restricted Jurisdictions
Users located in or accessing the Platform from jurisdictions subject to comprehensive U.S. or multilateral sanctions โ including the Republic of Cuba, the Islamic Republic of Iran, the Democratic People's Republic of Korea (North Korea), the Syrian Arab Republic, and the Crimea, Donetsk, and Luhansk regions of Ukraine โ are permitted to access the general discovery features of the Platform. However, all such users are strictly and absolutely prohibited from engaging in any financial transactions on the Platform, participating in the creator marketplace (either as a Creator or a purchaser), accessing creator monetization features, purchasing credits, using advertising services, or receiving payouts of any kind.
13.3 Financial and Monetization Prohibitions
Any attempt to participate in financial features, monetization programs, payouts, or advertising placements from a restricted jurisdiction is strictly prohibited. Rankly reserves the right to restrict, block, or invalidate any transaction, payout, or marketplace listing originating from or connected to a sanctioned country or territory in accordance with applicable financial compliance regulations.
13.4 Enforcement and Transaction Blocking
Rankly reserves the right to employ geographic and transaction monitoring to detect and prevent financial activity from restricted jurisdictions. Where a transaction or monetization activity is identified as originating from a restricted country or territory, Rankly may immediately and without notice block the transaction, freeze any associated pending payouts, and restrict the financial capabilities of the affected account.
13.5 User Representations
By using the Platform, you represent and warrant that your access to and use of the Platform's financial and monetization features does not originate from, and is not connected to, any restricted jurisdiction. You agree to comply fully with these restrictions and acknowledge that Rankly assumes no liability for restricting financial access in compliance with applicable sanctions regulations.
Section 14 โ Disclaimers and Limitation of Warranties
14.1 Service Provided As-Is
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Rankly expressly disclaims all warranties, including but not limited to any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.
14.2 No Guarantee of Availability
Rankly does not warrant that the Platform will be continuously available, uninterrupted, error-free, or free from security vulnerabilities at any time. Scheduled and unscheduled maintenance, technical failures, cyberattacks, or circumstances beyond Rankly's reasonable control may result in temporary or permanent unavailability of the Platform or any of its features. Rankly will not be liable for any loss or damage arising from Platform unavailability.
14.3 Third-Party Content, Creators, and Services
Rankly does not endorse, verify, or assume responsibility for any content, products, services, or conduct of third-party Creators, servers, bots, or communities listed on or promoted through the Platform. Users and purchasers interact with third-party listings and Creators entirely at their own risk. Rankly is not responsible for the performance, legality, quality, or delivery of any creator product or service offered through the marketplace.
14.4 No Professional Advice
Nothing on the Platform constitutes tax, legal, financial, investment, or professional advice of any kind. You are solely responsible for seeking qualified, licensed professional advice with respect to your own tax, legal, financial, and compliance obligations.
Section 15 โ Limitation of Liability
15.1 Exclusion of Consequential Damages
To the maximum extent permitted by applicable law, Rankly and its members, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages of any nature, including but not limited to loss of profits, loss of revenue, loss of marketplace earnings, loss of data, loss of goodwill, loss of business opportunity, or business interruption, arising out of or in connection with your use of or inability to use the Platform, any marketplace transaction, or any conduct of any Creator or user, even if Rankly has been advised of the possibility of such damages.
15.2 Aggregate Liability Cap
Rankly's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Platform, whether based in contract, tort, strict liability, statute, or any other legal theory, will not in any event exceed the total amount of fees paid by you to Rankly during the six (6) month period immediately preceding the event giving rise to the relevant claim. If you have not paid any fees to Rankly during that period, Rankly's maximum aggregate liability to you is fifty United States dollars (USD $50.00).
15.3 Creator-Purchaser Disputes
Rankly is not a party to any transaction between a Creator and a purchaser and assumes no liability for any dispute, loss, or harm arising between them in connection with any marketplace transaction. Rankly may, at its sole discretion, assist in facilitating the resolution of such disputes, but is under no obligation to do so and will not be liable for the outcome.
15.4 Jurisdictional Limitations
Some jurisdictions do not permit the exclusion or limitation of certain implied warranties or forms of liability. To the extent such exclusions or limitations are not permitted under the law of your jurisdiction, they will apply to the maximum extent permitted by that law, and Rankly's liability will be limited to the minimum extent required.
Section 16 โ Indemnification
You agree to indemnify, defend at Rankly's request, and hold harmless Rankly and its members, officers, employees, agents, successors, and licensors from and against any and all third-party claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and court costs) arising out of or in connection with any of the following: your access to or use of the Platform; any User Content or marketplace product you submit, list, or offer; your violation of any provision of these Terms; your violation of any right of any third party, including intellectual property rights, privacy rights, and publicity rights; your failure to comply with applicable tax, sanctions, or other legal obligations; any dispute between you and another user, Creator, or purchaser; or your violation of any applicable law or regulation.
Section 17 โ Account Termination
17.1 Termination by Rankly
Rankly may suspend or permanently terminate your account, with or without prior notice, upon determination that you have violated any provision of these Terms, engaged in fraudulent or abusive conduct, submitted bad-faith payment disputes, failed to comply with tax or identity documentation requirements, violated applicable sanctions or financial crime prevention law, or engaged in any other conduct that Rankly determines to be harmful to the Platform, its users, or its legal standing. Rankly also reserves the right to discontinue the Platform or any feature thereof at any time for any reason.
17.2 Voluntary Termination
You may request the termination of your account at any time by contacting support@rankly.live. Voluntary termination requests will be processed in accordance with Rankly's standard procedures. Voluntary termination does not entitle you to any refund of credits, fees, or marketplace earnings that have been legitimately deducted or forfeited.
17.3 Effect of Termination
Upon termination of your account for any reason, your access to all account features, data, and marketplace functions will be immediately and permanently revoked. All credits of any type will be permanently forfeited without compensation. Any pending payouts at the time of termination for cause may be reversed, withheld, or forfeited at Rankly's sole discretion, depending on the circumstances of termination. Data associated with your account will be handled in accordance with the Privacy Policy. Account termination is permanent and irreversible, and Rankly is under no obligation to restore a terminated account for any reason.
Section 18 โ Anti-Money Laundering and Financial Crime Compliance
18.1 AML Monitoring
Rankly maintains an active anti-money laundering compliance program and monitors Platform transactions for indicators of financial crime, including money laundering, terrorist financing, fraud, and sanctions evasion. Rankly reserves the right to request enhanced identity verification from any user at any time, suspend accounts and transactions pending investigation, reverse or block suspicious transactions, report suspected financial crimes to applicable authorities as required by law, and cooperate fully with any law enforcement or regulatory investigation.
18.2 Cooperation Requirement
Users and Creators agree to cooperate fully and promptly with any identity verification, compliance review, or investigation initiated by Rankly or required by a third-party payment provider. Failure to cooperate within a reasonable time will be treated as grounds for account suspension or termination and forfeiture of any associated earnings.
Section 19 โ Governing Law and Dispute Resolution
19.1 Governing Law
These Terms and all disputes arising out of or relating to them, the Platform, or any transaction conducted through the Platform will be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law principles or any choice of law rules that would cause the application of the laws of any other jurisdiction.
19.2 Jurisdiction and Venue
You irrevocably agree to submit to the exclusive personal jurisdiction and venue of the courts located in the State of New Mexico for the resolution of any dispute arising under or in connection with these Terms or your use of the Platform. If you access the Platform from outside the United States, you do so on your own initiative and acknowledge that you remain solely responsible for compliance with all applicable local laws.
19.3 Informal Resolution
Prior to initiating any formal legal proceeding, both parties agree to make a good-faith effort to resolve any dispute informally by contacting Rankly at support@rankly.live with a written description of the dispute and the relief sought. Rankly will endeavor to respond within thirty (30) days. If a resolution cannot be reached informally within that period, either party may pursue formal legal remedies in accordance with this Section.
Section 20 โ General Provisions
20.1 Entire Agreement
These Terms, together with the Privacy Policy, Community Guidelines, Refund Policy, and DMCA Policy, constitute the entire agreement between you and Rankly with respect to your use of the Platform and supersede all prior and contemporaneous agreements, understandings, negotiations, and representations on the same subject matter.
20.2 Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary to render it enforceable, and the validity and enforceability of all remaining provisions will not be affected.
20.3 No Waiver
Rankly's failure to enforce any right or provision of these Terms on any occasion will not constitute a waiver of that right or provision. Any waiver by Rankly of any right or provision must be made expressly in writing and signed by an authorized representative of Rankly to be effective.
20.4 Assignment
You may not assign, delegate, transfer, or sublicense any of your rights or obligations under these Terms, in whole or in part, without Rankly's prior express written consent, and any purported assignment without such consent will be null and void. Rankly may assign these Terms or any of its rights or obligations hereunder at any time without restriction and without notice to you.
20.5 Force Majeure
Rankly will not be liable for any failure or delay in the performance of its obligations under these Terms resulting from causes beyond its reasonable control, including natural disasters, acts of government or regulatory authority, war, civil unrest, strikes, power or internet infrastructure failures, or any other event of force majeure. Rankly will make reasonable efforts to resume normal operations as quickly as practicable following any such event.
20.6 Notices
Any notice required or permitted under these Terms will be deemed effectively delivered when sent by email to the address associated with your Rankly account or, in the case of notices to Rankly, when sent to support@rankly.live. Rankly may also provide notice through prominent posting on the Platform.
20.7 Language
These Terms are drafted in and shall be governed by the English language. In the event of any conflict or inconsistency between the English version of these Terms and any translated version, the English version will prevail in all respects.
20.8 Headings
Section headings are included for convenience of reference only and do not affect the interpretation or legal effect of any provision.
